The short answer

Royalty rates are the most disputed prices in a group because the intangible is unique by definition, so the study leans on the terms of the licence rather than on a matching product. Comparable licence agreements are screened for the right rights, territory, exclusivity and term, and the analysis is cross-checked against the profit the licensee can sustain.

Who has to deal with this

  • A year-end adjustment was booked without documenting the basis
  • The benchmarking study on file is more than a couple of years old
  • Your group has any transaction with a related non-resident
  • Intercompany prices were set internally with no external support
  • A tax authority has asked whether documentation exists

That list is deliberately concrete. If you recognise yourself in it, this page is the right starting point; if you do not, tell us and we will point you elsewhere without charging for it.

Royalty rate study — priced before we start

A royalty rate study is priced on the licence in front of us: one intangible licensed into one territory on written terms is a contained piece of work, while several rights, mixed territories and no signed agreement mean the terms have to be established before any rate can be tested. The fee is agreed in writing first.

What the rule does, step by step

Royalty rates are the most disputed prices in a group because the intangible is unique by definition, so the study leans on the terms of the licence rather than on a matching product.

Comparable licence agreements are screened for the right rights, territory, exclusivity and term, and the analysis is cross-checked against the profit the licensee can sustain. Who developed and maintains the intangible constrains where the royalty can go.

This is why we start with a chronology rather than a form. Almost every position in this area is anchored to a date — of arrival, of departure, of a payment, of a transaction — and the evidence that supports it is either created around that date or reconstructed years later at several times the cost.

Thresholds and rates move, and summaries written for last year are not evidence about this one. So each figure in your file is sourced to the issuing authority for the specific year; anything we cannot source, we describe as a mechanism and leave unquantified until it can be confirmed. See also importing into the US — duty & mpf and advance pricing agreements in India.

What we actually file

  • Intercompany agreements that match the conduct
  • The information return that discloses related-party transactions
  • A defence file of the evidence behind the documentation
  • Adjustment and corresponding-adjustment computations
  • Advance pricing applications where certainty is worth buying

A worked example

Here is the rule doing its work on an actual set of amounts.

An operating margin against a tested range

A limited-risk entity with C$11,000,000 of revenue reporting a 1% operating margin. Assume a benchmarking study produced an interquartile range of 3% to 6%.

An operating margin against a tested range
ItemAmount
RevenueC$11,000,000
Operating margin reported1%
Operating profit reportedC$110,000
Assumed tested range3% – 6%
Profit at the bottom of the rangeC$330,000
Potential adjustmentC$220,000

A margin below the range invites an adjustment of C$220,000 in this jurisdiction — and unless the other country makes a corresponding adjustment, that profit is taxed twice. The documentation is what turns this into a conversation rather than an assessment. Your version of this table is the useful one, and it takes a short call and a document pack to produce.

These amounts illustrate the mechanism only. The rates and thresholds are assumptions of the example, not your numbers: each is checked against the issuing authority for your specific tax year before any return is filed.

From first call to filed

  1. 1We establish what happened and when, because every position here is anchored to a date
  2. 2A written scope and a fixed price, so you know the cost before committing
  3. 3The filings are prepared, cross-checked against each other, and reviewed by name
  4. 4You see the result, approve it, and we file it

What it costs

Fees for royalty rate study are quoted as a fixed amount for a defined scope. There is no hourly meter and no surprise on the invoice: the number is agreed in writing before anything starts. Comparable engagements and their fixed fees are set out on the pricing pages.

  • Nothing is filed until you have read it.
  • Your existing accountant keeps the domestic file; we take the cross-border piece, with the boundary in writing.
  • Fixed fees agreed before any work starts, so the number in the quote is the number on the invoice.

How to get this moving

The quote comes before the work, in writing. If you want to arrive prepared: the prior-year returns, the dates that matter, and any letter or slip that prompted the question. If you would rather just talk it through first, that works too.

Reviewed against current guidance for the 2025 and 2026 filing seasons by Udit Gupta, Cross-Border Tax Expert, Legal Quotient Consultants. This is general information rather than advice about your file — a short call is the way to get the second.

Transfer pricing definition — what this page covers

The subject here is royalty rate study, which is what people mean when they search for transfer pricing definition. This page covers who it applies to, the filings it produces, and the fixed fee agreed before work begins.

Royalty rates are the most disputed prices in a group because the intangible is unique by definition, so the study leans on the terms of the licence rather than on a matching product.

From first contact to filed return

  1. Send the documents as they are

No tidying required — forward what you have and we tell you what is missing.

  2. Get a fixed quote in writing

  3. Both countries prepared together

One team builds the filings against each other so the relief lands exactly once.

  4. Review, then file

Four terms worth pinning down

One-stop scheme
A centralised registration and return arrangement letting a seller account for multiple countries' tax through a single filing.
Hybrid mismatch
An outcome — a deduction with no inclusion, or a double deduction — arising from two countries classifying an entity or instrument differently. Anti-hybrid rules now neutralise it.
GAAR
A general anti-avoidance rule allowing an authority to recharacterise an arrangement whose main purpose was a tax benefit, even where each step complied with the law.
Angel tax
The Indian rule that can treat share premium above fair value as income of the issuing company, resolved by valuation evidence at the time of issue.
royalty rate study: The practitioner's note

Comparable licence agreements are screened for the right rights, territory, exclusivity and term, and the analysis is cross-checked against the profit the licensee can sustain.

Whichever way the facts cut, you keep the same footing: a fee agreed in writing beforehand, a named practitioner reviewing the file, and nothing filed until the work is delivered and approved.

The published fees closest to royalty rate study

The second half of a royalty study is the cross-check: whether the rate leaves the licensee a profit it can sustain, and who in the group actually developed and maintains the intangible. Where that history is documented the analysis is short; where it has to be pieced together from people's recollection, it is not.

Why clients bring royalty rate study to us

The order of filing is planned, not improvised

Which return goes first decides whether relief can be claimed at all. That sequence is worked out before anything is submitted.

We say early if it is not our work

If a file needs something this practice does not do, you hear that at the start rather than after a bill.

The engagement, start to finish

  • Step 1: Hand over the paperwork in any state – Sorting it is our job. Send what exists and we identify what is missing from it.
  • Step 2: Priced before a single form is opened – The fee comes from the documents, agreed in writing, and stays where it was agreed.
  • Step 3: One position across every return – The same facts, filed consistently on each side, so nothing contradicts anything else.
  • Step 4: Filed after you have read it – The completed work reaches you before it reaches an authority.

What these engagements turn on

Case study 1

A Margin Defended With a Benchmarking Set That Fits the Facts

A comparables set is only as good as the screening behind it, and a rejected set takes the margin with it. The study selects the tested party first, screens on function rather than on industry code, and records why each comparable survived.

Case study 2

Withholding Reduced by the Right Article

Dividends, interest and royalties each have their own article and their own rate, and the payer applies whichever it is satisfied of. Establishing entitlement before payment is what secures the lower rate at source.

Read how this one runs
Case study 3

Withheld at the Statutory Rate When a Treaty Rate Applied

Where withholding has already gone out at the full domestic rate, the treaty rate is recovered rather than applied. The file establishes entitlement for each payment, then puts the documentation in place so the following year runs at the correct rate from the start.

Case study 4

Choosing Between Methods on the Evidence

A comparable uncontrolled price is the strongest method where one genuinely exists, and reaching for it where it does not is weaker than a properly applied alternative. The choice is documented with the reasons for rejecting the others.

Case study 5

Documentation Requested, and the Deadline Is Not Extendable

Contemporaneous documentation has to exist by the filing deadline, not be assembled when it is asked for, and the penalty protection turns on that timing. The engagement produces the analysis for the year in question and puts a repeatable process behind the next one.

Case study 6

A Non-Resident Estate Holding US Assets

US situs assets sit inside the US estate tax net regardless of where the owner lived, and the exemption available to a non-resident is not the resident one. The file establishes situs asset by asset before any relief is claimed.

An IRS Notice for a Year the Client Believed Was Settled

Most notices are proposals rather than assessments, and they carry a response window that is shorter than it looks. The engagement reads what is actually being proposed, gathers the support, and replies inside the window with the position rather than a request for time.

Core International & Cross-Border Tax Services

International Tax Planning & Advisory

Strategy and compliance for income, assets and families spread across borders.

One coordinating team: filings on every side of the border are sequenced so treaty relief and foreign tax credits are claimed once — and in the right country.

U.S. & Cross-Border Tax Returns

Dual filers: U.S. citizens in Canada and Canadians with U.S. income run two parallel systems — we prepare both, in the right order, every year.

Expat & Emigration Tax

The move year is its own project: the elections and valuations filed that year decide the next decade of both countries’ returns.

Non-Resident Canadian Tax

Default withholding is 25% of gross: elective returns routinely turn over-withheld rent and pensions into refunds.

Transfer Pricing & BEPS

Documentation prepared with the return is the cheapest insurance in international tax; reconstructing it during an audit is the most expensive.

Cross-Border Estates & Trusts

Wills drafted for one country routinely misfire in the other — deemed disposition here, estate tax there, credits in between.

Cross-Border Corporate Tax

Expansion raises the same four questions every time — entity, PE, repatriation, payroll. We answer them before the tax authorities do.

India Tax for NRIs & Returning Residents

The deduction is taken on the sale price, not the gain — which is why an NRI property sale strands cash unless the certificate is applied for before closing.

Canadian Tax with a Foreign Element

Residency is decided on facts, not on a form — and the year you arrive or leave is the one where the largest amounts turn on the smallest details.

UAE Tax for Expats & Their Home Country

A zero-tax country is only half the answer — the question that decides the bill is whether the country you came from still treats you as resident.

Royalty rate study — questions we are asked

Royalty rate study — where does doing it myself start to cost money?

Some of it, yes — and we will say so on the call if that is the honest answer. The parts that are worth paying for are the ones where a missed election, a missed deadline or an unverified threshold costs more than the fee: comparable licence agreements are screened for the right rights, territory, exclusivity and term, and the analysis is cross-checked against the profit the licensee can sustain.

What if I have already filed and got it wrong?

That is a common starting point. We re-derive the position, identify whether an amendment or a disclosure route is the right vehicle, and tell you which one preserves the relief that is still available. The order matters more than the speed.

How long will it take?

It depends on the documents rather than on us. Once the pack is complete most filings turn around inside a fortnight; anything that needs a certificate from a tax authority runs on that authority's timetable, which we tell you at the start rather than at the end.

What is OECD Pillar One?

The part of the international agreement that reallocates a share of taxing rights over the very largest and most profitable groups to the jurisdictions where their customers and users are, regardless of physical presence — plus a simplified approach to routine marketing and distribution returns. It is aimed at the digitalised economy problem that physical-presence rules could not reach, and its implementation is still moving, which is why we read the current instrument rather than the original blueprint. See BEPS and Pillar Two.

What does a transfer pricing benchmarking study do?

It evidences that your related-party pricing sits within the range independent parties achieve. The work is comparison: identify companies or transactions genuinely similar in function, risk and assets, compute their margins, and show where your result falls against that range. Done before the filing deadline it supports the position; produced afterwards under audit it carries far less weight. See benchmarking study.

Can you give a plain transfer pricing example?

A Canadian company manufactures at a cost of one hundred and its US subsidiary sells to customers for one hundred and eighty. If the parent invoices the subsidiary at one hundred and ten, most of the margin is taxed in the United States; invoice at one hundred and seventy and most of it is taxed in Canada. Nothing about the business changed — only which treasury collects. That is why the arm's length price, the one unrelated parties would have agreed, is the reference point both authorities use. See our transfer pricing work.

Do you keep my documents?

For the retention period the professional rules require, in the same access-controlled system, and no longer than that.

Can you review something another adviser prepared?

Yes, and that is a common engagement. A second opinion on a filed cross-border return most often finds an unclaimed credit, a missed information return, and a treaty position taken without the required disclosure.
